PROJECTS:
- Provision of comprehensive legal support in relation to reorganization of the company under French law and support of sale and purchase agreement. The object of the agreement were shares of a major foreign pharmaceutical company (net asset of the company amounts to 227 billion rubles). The implementation of the project has optimized corporate governance of the company and reduced the costs.
- Legal support of the establishment of joint venture in alimentary industry, including legal support of the procedure on engaging external investor. Under the corporate agreement the procedure for cooperation of the parties on key commercial matters was defined, the risks of corporate conflict between the participants of the joint venture were minimized.
- Provision of legal assistance to Russian office of a foreign insurance company that was recognized as systematically important by the international Council of financial stability. The assistance included interaction with the Federal antitrust service and Bank of Russia to disclose group of persons and key shareholders, preparation of regulation on compliance with the requirements to business reputation and qualification of the officials, revision of anti-money laundering local acts, alignment of rules on insurance with basic standards of the Bank of Russia (the Client's net asset value 2,6 billion rubles). Due to the provided services the Client's activity is in conformity with current legislation and good practice.
- Consulting one of the world leaders in commercial (export) credit insurance with regard to its joint activities with a foreign insurer for the purposes of insuring commercial (export) credits (Client's net asset value – 3,3 billion rubles). As a result, recommendations on compliance with regulatory requirements of the Bank of Russia and recommendations on the kinds of activities the Client is entitled to conduct within his interaction with foreign insurer were provided.
